 AN ORDINANCE DECLARING CERTAIN REAL PROPERTY NO LONGER NEEDED FOR MUNICIPAL PURPOSES AND AUTHORIZING THE CONVEYANCE OF SAME TO THE SOUTH BALDWIN CHAMBER OF COMMERCE

 

 

Body

WHEREAS, the South Baldwin Chamber of Commerce (“Chamber”) is a publicly supported, not-for-profit entity that serves a vital and important civic and public purpose; and

 

WHEREAS, the Chamber regularly receives public aid, financial assistance and other benefits from the City and from other public and private sources; and

 

WHEREAS, the Chamber has been a tenant in various buildings in the City of Foley for the past several years, but it is detrimental to the operations and functions of the Chamber to continue to move locations, or to be moved, as a tenant; and

 

WHEREAS, the Chamber is currently being required to vacate its currently leased space as part of a sale of property by the Utilities Board of the City of Foley; and

 

WHEREAS, the sale of the property by the Utilities Board of the City of Foley is beneficial to the City;

 

WHEREAS, the Chamber would benefit from owning its own property and professional office building rather than renting office space; and

 

WHEREAS, the City of Foley would benefit from the Chamber retaining its professional office in the City of Foley as opposed to locating outside the City of Foley; and

 

WHEREAS, the City owns certain real property that is no longer needed for municipal purposes and which will adequately meet the needs of the Chamber as its professional office space; and

 

WHEREAS, the City desires to convey certain real property to the Chamber on certain terms, restrictions, and conditions which the Chamber desires to agree to as a condition of receiving the property;

 

                     NOW THEREFORE, be it ordained by the City Council of the City of Foley as follows:

 

1.   That the City Council hereby finds and declares that the following property is no longer needed for municipal purposes, and that it is in the best interests of the City of Foley to donate the same to the Chamber on the terms, restrictions and conditions set forth in the Statutory Warranty Deed attached hereto as Exhibit “A”:

 

Lots 11 and 12, Block 9 in the City of Foley, Alabama, being a subdivision of a

part of Sections 28 and 29, Township 7 South, Range 4 East, according to a plat

thereof recorded in the Office of the Judge of Probate of Baldwin County,

Alabama, in Map Book 1, Page 25.

 

(the "Subject Property”).  The City expressly finds and declares that the services to be provided by the Chamber at the Subject Property are adequate consideration to the City for this conveyance.  The City further expressly finds and declares that the public benefit to the City by the Chamber performing as required as a condition to this conveyance is good, valuable, sufficient and adequate consideration to the City.

 

2.  That, pursuant to Code of Alabama, Section 11-47-20 and applicable law, the Mayor and City Clerk of the City of Foley are hereby authorized and directed to execute, acknowledge, attest and deliver the attached deed to the Chamber for the Subject Property. 

 

3. That the officers of the City, or any one or more of them, are hereby authorized and directed to do and perform or cause to be done or performed in the name and on behalf of the City such other acts, and execute, deliver, file and record such other instruments, documents, certificates, and notifications, all as shall be required by law or necessary or desirable to carry out the provisions and purposes of this Ordinance.

 

4. That any prior actions taken, agreements made, or documents executed by any officers of the City in connection with the Chamber and the transactions herein authorized and approved are hereby ratified, confirmed and approved.

 

5. That this Ordinance shall take effect immediately after its publication as required by law, and all resolutions, ordinances, orders, or parts thereof in conflict or inconsistent with any provision herein are, to the extent of such conflict or inconsistency, hereby repealed.
